Prices: All prices are stated in Canadian funds, cash discounted, unless otherwise noted. Prices are subject to change without notice. Applicable taxes are extra and will be billed. Customers claiming exemption from tax should submit the appropriate exemption form and state the basis for the exemption.

Order acceptance: The Purchaser shall provide a written purchase order or, subject to approval by Best Solutions, a verbal order may be accepted. The terms and conditions of the purchase order will be deemed to conform to the conditions of this policy unless specifically waived by Best Solutions in writing. No order accepted by Best Solutions may be altered or modified by the Purchaser unless agreed to in writing by an authorized official of Best Solutions.

Best Solutions will review the order for accuracy and acknowledge the order with any changes required within 2 business days. If changes are required, the purchaser should acknowledge the changes by signing the mofified order as accepted and fax a copy to Best Solutions.

Payment: Payment shall be submitted with the order unless approved alternate arrangements have been granted by Best Solutions. Payment will be in the form of credit card (VISA or MasterCard), cheque, or equivalent. Cheques may be subject to a bank clearing delay before the order is considered paid.

Delivery: Unless otherwise agreed in writing, delivery of the product will be made F.O.B Best Solutions’ factory in Waterloo. No order will be shipped until payment has been received in full unless alternate arrangements have been granted by Best Solutions.

Title: The delivery of products ordered by the Purchaser to a carrier shall constitute delivery to the Purchaser. The risk of loss or damage in transit regardless of the freight payment and method, passes to the Purchaser at that time. Title of ownership to the products shall pass from Best Solutions to the Purchaser when Best Solutions has been paid in full.

Shipping Policy: Shipping terms are F.O.B. Best Solutions factory (Campbellville, Canada) with the risk of loss transferring to the Purchaser, once products are delivered to the shipping carrier. The Purchaser is expected to provide a valid carrier and account number to which Best Solutions will ship all products and charge freight, specified insurance and applicable duties & taxes collect to the Purchaser.

If carrier information is not provided, Best Solutions shall select an appropriate method and routing of the shipment and invoice the Purchaser all transportation costs, including full damage/loss insurance coverage, duties, taxes, VAT in addition to a 20% administration and handling fee.

Best Solutions shipping errors: The Purchaser agrees to, immediately upon receipt, verify the accuracy of shipments received from Best Solutions and inform Best Solutions of any errors within seven (7) calendar days.

Loss or Damage on Shipments: Best Solutions shall not be responsible for any losses or damages in transit. Claims for either of losses or damages must be made promptly by the Purchaser against the carrier. Best Solutions will however provide assistance to the Purchaser in order to secure financial adjustments from the carrier.

Insurance coverage (Standard conditions). Shipping collect: The Purchaser must advise at time of order what carriage insurance value if any, is required to be placed upon the shipment. If the Purchaser does not specify, the declared value of the shipment will be at the carrier's standard rates. Shipping prepaid: Best Solutions will for carriage insurance purposes unless otherwise advised not to, declare the value of the shipment to be the full commercial (replacement) value of the goods being shipped.

Default of payment: If the Purchaser defaults in any payments, Best Solutions reserves the right to retain any partial payments which may have been made as receipts for non-payment damages, and shall be entitled to the immediate possession of the goods at the Purchasers expense.

Credit / Exchange Returns. Best Solutions may accept returned merchandise, however only when approved in advance. Any goods being returned for any reason must include a Return Merchandise Authorization (RMA) number, or the return will be refused. Returns must be shipped transportation prepaid in original factory cartons or equivalent.

Goods purchased within the previous thirty (30) days may, upon a satisfactory inspection, result in a credit being issued at the Purchaser’s original purchase price, and may be subject to a restocking charge.

Warranty. Best Solutions warrants its products for a period of 1 year from the date of shipment unless otherwise stated. Warranty will not apply to any product which has been, 1) improperly installed, 2) installed in an unsuitable operating environment, 3) used in an application other than that for which it was designed, 4) any unauthorized attachment, removal or alteration including serial number label, of any part, 5) subjected to unusual mechanical, physical or electrical stress, 6) modified or repaired by other than Best Solutions, or 7) abuse, misuse, neglect or accident. Best Solutions will assume no liability or obligation with respect to expenses, liabilities or losses associated with the use of the product. Under no circumstances will Best Solutions’ liability for any reason exceed the value of the products being purchased.

Warranty Returns. Any goods being returned for warranty must include a Return Merchandise Authorization (RMA) number, or the return will be refused. Returns must be shipped transportation prepaid by the customer in original factory cartons or satisfactory equivalent. Upon receipt by Best Solutions and a detailed inspection, Best Solutions will repair and or replace the defective components at its discretion and return the repaired/replaced product to the Purchaser freight prepaid by Best Solutions, subject to the terms above.

Governing Law. All contracts for the sale of Best Solutions products shall be governed and construed according to the laws of the Province of Ontario Canada.
